You will indemnify, defend and hold harmless Developing Mathematical Thinking Institute, Inc., its affiliates, parents, subsidiaries, and divisions, and all of their officers, directors, employees, and agents, from and against any claims, demands, causes of action, judgments, damages, losses, liabilities, and all costs and expenses of defense (including, without limitation, reasonable attorneys' and other legal fees and costs) (“Claims”) arising out of or relating to: (1) your violation of these Terms of use or any law, rule or regulation; (2) your access or use of this Site or any content therefrom; or (3) any material uploaded by you or through your computer to this Site or otherwise sent by you to Developing Mathematical Thinking Institute, Inc, including with respect to any allegations that your material violates, misappropriates, or infringes any rights of another (including intellectual property rights or privacy rights), and any allegation that you did not have the appropriate authorizations, approvals or consents to upload or send such material.
